Breach of Fiduciary Duties, Corporate Misfeasance

The deterioration of shareholder relations or a loss of trust in the directors and allegations of breach of fiduciary duties is a challenging legal minefield which requires a breadth and depth of legal experience in commercial, regulatory and even criminal law. Our work in this area requires a balance of aggressive protection of our client’s interests, the keen awareness of commercial practicalities, assisting our clients to prioritise their objectives as shareholders and resolving their disputes either through litigation, mediation or negotiating a sound exit strategy. In this regard, our experience includes:

  • Acting in cross-border actions on the breakdown of joint ventures

  • Successfully striking out an action against directors in a joint venture company who faced allegations of breach of fiduciary duties.

  • Acted for a private equity firm in disputes concerning the holding company of TWG Tea, leading to a successful winding up application in the Singapore High Court which was affirmed on appeal.

  • Acted in court actions to seek relief for boards in a deadlock.

  • Acted for a company to seek swift and decisive injunctive relief to prevent misuse of resources by director.

  • Advising on and successfully formulating share buy-outs for different factions of shareholders.
